SK Appoints First-Generation Female American Lawyer Park Hyun-joo as Outside Director

Dividend Amount Reporting and Investment Decisions, Dividend Record Date Also Changed
SK Group's investment-focused holding company SK has appointed Hyunju Park, a first-generation female American lawyer and mergers and acquisitions (M&A) expert, as a new outside director.
On the 7th, SK announced that it held a board meeting the previous day and decided to submit this agenda to the regular shareholders' meeting to enhance the diversity and expertise of the board.
Hyunju Park, a senior foreign attorney at the law firm Sejong, has accumulated extensive experience in finance fields such as project financing and private equity funds. She has also participated in several large-scale M&As. She is recognized for combining expertise in investment work with an understanding of corporate management.
Once the shareholders' meeting resolution is completed on the 29th, the SK board will increase the number of female outside directors from one to two out of five, raising the proportion of female outside directors to 40%.

SK is also pushing for partial amendments to the articles of incorporation to change the dividend record date so that investors can make investment decisions based on the confirmed dividend amount.
Currently, the articles of incorporation set the dividend record date as the last day of each fiscal year for profit dividends and July 1 at 0:00 for interim dividends. The new articles allow the board to set the dividend record date after the dividend amount is confirmed. In January, the Financial Services Commission and the Ministry of Justice announced an improvement plan for dividend procedures recommending that the dividend record date for settlement dividends be changed to after the dividend amount confirmation date.

Meanwhile, as a leading ESG company, SK has received the highest rating of ‘AAA’ in ESG management evaluation from the global ESG rating agency Morgan Stanley Capital International. SK also achieved inclusion in the Dow Jones Sustainability Index (DJSI) World index for 11 consecutive years, as announced by S&P Global.
