A seminar has been organized to analyze the key changes and practical issues of the 2026 regular general shareholders' meeting and to discuss strategies for responding in 2027.
Law firm SHIN & KIM (Managing Partner Oh Jonghan) announced on the 6th that it will hold the '2026 Regular General Meeting Review Seminar' in a hybrid format at the SHIN & KIM Seminar Room on the 24th floor of Gran Seoul Tower 1, Jongno-gu, Seoul, at 3:00 p.m. on May 14.
The 2026 regular general shareholders' meeting season marks the first year in which the amended Commercial Act is fully applied. For companies, this means that comprehensive capabilities are required, not only in terms of submitting agenda items, but also in designing articles of incorporation, shareholder communication, responding to proxy advisory firms, and establishing mid- to long-term governance strategies after the meeting.
Accordingly, the SHIN & KIM Corporate Governance Strategy Center plans to analyze the major changes and issues identified during the 2026 regular general shareholders' meeting season through this seminar and will present directions for responding in preparation for the 2027 general shareholders' meeting.
The first session will feature attorney Baek Sanghyun of the SHIN & KIM Shareholder and Management Rights Dispute Team (3rd Bar Exam), who handles various work related to corporate law and capital markets law, presenting on the topic, "First Application of the Amended Commercial Act: Changes in Articles of Incorporation and Board Structure."
This will be followed by attorney Choi Myung (4th Bar Exam), who provides extensive advisory and litigation work on hostile M&A for major domestic companies and is active in publishing in the field of management rights disputes, delivering a presentation titled "Treasury Stock Cancellation and Dividends: Changes in Treasury Stock-Related Agenda Items after the Third Amendment to the Commercial Act." He will provide a detailed analysis of issues such as the linkage between treasury stock cancellation/disposal and dividend policies.
The third session will be led by Kim Myungseo, a senior advisor with extensive academic background and practical experience in ESG evaluation, analysis, and proxy voting, who will give a presentation on the topic, "Director Appointment and Remuneration Approval: New Standards for Independence, Responsibility, and Remuneration Transparency."
Finally, Ahn Hyoseop, chief senior advisor and head of the SHIN & KIM Corporate Governance Research Institute, will leverage his accumulated insights in the proxy advisory field to present on "Changes in Shareholder Proposals in 2026: Agenda Analysis and Response Strategies." This session will comprehensively cover actual agenda items, changes in proxy voting standards, and key points of interest for proxy advisory firms and institutional investors.
