Focus on Enhancing Board Expertise and Shareholder Value
Starting with Samsung Electronics on the 15th, major domestic companies will hold their regular general meetings of shareholders. This year, companies are focusing on enhancing board expertise and shareholder value, while also preparing for the future by adding new businesses to their corporate purposes.
Samsung Electronics, holding its 54th regular general meeting of shareholders at the Suwon Convention Center in Suwon, Gyeonggi Province, plans to present agenda items including ▲approval of financial statements ▲appointment of Han Jong-hee as an inside director ▲approval of the director remuneration limit.
Since Vice Chairman Han Jong-hee's registered executive term expires on the 17th of next month, the agenda includes his reappointment as an inside director. The agenda for appointing Chairman Lee Jae-yong as a registered director, which had attracted attention, was not included. Despite calls for strengthening responsible management, the timing of Chairman Lee's return as a registered executive was postponed considering his legal risks.
Samsung Electro-Mechanics and Samsung SDI will also hold their shareholder meetings on the same day. Samsung Electro-Mechanics plans to appoint Choi Jong-gu, former Chairman of the Financial Services Commission and current Chairman of the Lina Jeonseonggi Foundation, as a new outside director candidate, while Samsung SDI plans to newly appoint Lee Mi-kyung, CEO of the Environmental Foundation, as an outside director.
The Hyundai Motor Group has scheduled shareholder meetings starting with Kia on the 17th, Hyundai Rotem on the 20th, Hyundai Steel and Hyundai Mobis on the 22nd, and Hyundai Motor on the 23rd.
Hyundai Motor will discuss an agenda to strengthen board diversity and expertise by adding one inside director and one outside director, expanding the board size from 11 to 13 members. Additionally, it will improve dividend procedures to enhance shareholder rights, allowing investors to make investment decisions based on dividend amounts. Notably, Hyundai Motor and Kia will add financial product sales agency and brokerage business to their corporate purposes. This is a measure for the certified used car business.
LG Electronics plans to add 'telecommunications services' and 'cosmetics sales business' to its corporate purposes at the shareholder meeting on the 27th. Regarding cosmetics sales, LG Electronics plans to sell cosmetics necessary for use in combination with beauty devices and medical devices it sells. This decision aims to assist customers' purchases and expand the value of product utilization.
Additionally, LG Display will hold its shareholder meeting on the 21st, LG Innotek on the 23rd, LG Energy Solution on the 24th, and LG Chem on the 28th. LG Display will propose appointing Professor Park Sang of the Department of Materials Science and Engineering at KAIST as an outside director, LG Energy Solution will propose appointing Park Jin-gyu, former 1st Vice Minister of the Ministry of Trade, Industry and Energy, and LG Chem will propose appointing Professor Cheon Kyung-hoon of Seoul National University Law School as outside directors.
SK Inc. will hold its shareholder meeting on the 29th to discuss amendments to the articles of incorporation related to the dividend date. It also plans to appoint Hyun-joo Park, a first-generation American female lawyer and senior foreign attorney at the law firm Sejong, as an outside director candidate. SK Hynix will approve an agenda at the 29th shareholder meeting to increase the number of female outside directors from one to two. Kim Jung-won, advisor at Kim & Chang law firm, and Jung Deok-gyun, endowed professor of the Department of Electrical and Computer Engineering at Seoul National University, are also expected to join as new outside directors.

DB HiTek will also hold its shareholder meeting on the same day and discuss an agenda to spin off its fabless (semiconductor design specialist) business division to establish 'DB Fabless' (tentative name).
