[Asia Economy Reporter Su-yeon Woo] SK Hynix is accelerating the restructuring of SK Group's governance by appointing Vice Chairman Park Jung-ho as an inside director. As Vice Chairman Park concurrently serves as CEO of SK Telecom and Vice Chairman of SK Hynix, he is expected to lead the group's governance restructuring and strengthen SK Hynix's expansion through mergers and acquisitions (M&A) in the future.
On the 30th, SK Hynix resolved the agenda to appoint Vice Chairman Park Jung-ho as an inside director at the regular shareholders' meeting held at its headquarters in Icheon, Gyeonggi Province. The company stated, "With his extensive experience and insight across the semiconductor and ICT industries, he is expected to demonstrate leadership encompassing both semiconductors and telecommunications, playing a role in creating synergy," explaining the background of his appointment.
Until last year, Vice Chairman Park served as a non-executive director at SK Hynix and acted as the chairman of the board. SK Group has separated the roles of inside director (CEO) and chairman of the board to enhance management transparency, and following this policy, Vice Chairman Park, newly appointed as an inside director, is expected to step down from the chairman position. Organizationally, until last year, the vice chairman position was separated as an independent organization equal to the CEO, but from this year, it has been reorganized into a vertical structure where the CEO and subordinate organizations belong under the vice chairman.
Industry insiders interpret Vice Chairman Park's concurrent roles as CEO of SK Telecom, the group's core affiliate, and inside director of SK Hynix as a move to oversee the group's governance restructuring and M&A. Vice Chairman Park is an M&A expert who has led major deals such as SK Group's acquisition of Hynix and the acquisitions of ADT Caps and T-broad. On the 25th, at the SK Telecom shareholders' meeting, Vice Chairman Park officially announced the governance restructuring and mentioned, "I will explain separately as soon as it is concretized, not in the first half."
The leading restructuring plan so far is to split SK Telecom into a holding company and an operating company, with the SK Telecom holding company serving as an intermediate holding company, and then merge SK Inc. and the SK Telecom intermediate holding company. Although there are differing opinions on the method of SK Telecom's split, industry forecasts favor a spin-off in which the shareholder composition remains unchanged and only the company is divided horizontally.
Through this governance restructuring, SK Hynix, currently a grandchild company of SK Inc., will become a subsidiary directly controlled by the holding company. Under the current Fair Trade Act, if a holding company's grandchild company conducts an M&A, it must acquire 100% of the target company's shares, but as a subsidiary, SK Hynix will be exempt from this condition. This creates an environment where SK Hynix can aggressively pursue M&A.
Meanwhile, all agenda items were passed as originally proposed at the shareholders' meeting, and CEO Lee Seok-hee presented last year's performance and this year's plans. Last year, SK Hynix achieved the No. 1 market share in server DRAM by expanding sales of 10-nanometer second-generation high-capacity modules. In the NAND business, mass production of 128-layer 3D products improved cost competitiveness, and data center SSD sales increased sixfold compared to the previous year.

CEO Lee summarized SK Hynix's key business goals for this year as ▲ development of next-generation DRAM and NAND ▲ cost structure innovation through smart factory construction, investment, and asset efficiency ▲ synergy creation following the acquisition of Intel's NAND business. He emphasized, "We will proceed smoothly with the acquisition of Intel's NAND business and enhance our core capabilities to create synergy with our business. We will make this year the first year to truly become a global memory company."
