Expectations for Long-Term Corporate Value Enhancement
The Governance Advisory Committee of the Korea Listed Companies Association announced on the 5th that it supports Doosan's governance restructuring plan.
The committee stated, "After reviewing the agenda related to the spin-off and merger of Doosan Enerbility and Doosan Robotics, we recognized that the background and future business direction are reasonable."
It added, "Through this spin-off and merger, both companies are expected to enhance their long-term corporate value by securing expertise in the energy business and maximizing competitiveness in smart machines, respectively. The multifaceted efforts to maximize the interests of minority shareholders are also positive."

Furthermore, it said, "By choosing the method of a spin-off in kind, shareholders of Doosan Enerbility will be allocated shares of Doosan Robotics, allowing continuous sharing of business synergies. The merger ratio was recalculated so that general shareholders can also share in the management premium, and the fairness of the spin-off and merger ratio is deemed secured as its appropriateness was recognized by an external evaluation agency."
