Hana Financial Group Expands Board of Directors... Recommends Inside Directors Lee Seung-yeol and Kang Seong-mook
Internal Directors Increased from 1 to 3, Outside Directors from 8 to 9
4 New Outside Director Candidates Recommended
The Hana Financial Group board of directors announced on the 29th that it has resolved to expand the number of inside directors from 1 to 3 by adding 2 more, and the number of outside directors from 8 to 9 by adding 1 more at the board meeting convened to call the shareholders' meeting.
The board explained that this decision aims to strengthen responsible management and internal control amid uncertain domestic and international financial environments. Considering the asset size of subsidiaries within the group, the board recommended Lee Seung-yeol, CEO of Hana Bank, and Kang Seong-mook, President of Hana Securities (also Vice Chairman of Hana Financial Group), as candidates for inside directors.
Additionally, to prevent the dilution of the independence of outside directors due to the increase in the number of inside directors, the Hana Financial board resolved to expand the number of outside directors from 8 to 9.
New candidates for outside directors recommended include Joo Young-seop, former Commissioner of the Korea Customs Service; Lee Jae-sul, former CEO of Deloitte Anjin LLC; Yoon Shim, former Vice President of Samsung SDS Cloud Business Division; and Lee Jae-min, professor at Seoul National University School of Law. Existing outside directors Lee Jung-won, Park Dong-moon, and Lee Kang-won were recommended for reappointment.

The candidates recommended as directors of Hana Financial Group are expected to be finally appointed after the regular shareholders' meeting to be held on the 22nd of next month.
