Shareholders Meeting to Approve Merger with HiJe4 SPAC on the 13th
Merger Scheduled for the 15th of Next Month... KOSDAQ Listing on the 30th
[Asia Economy Reporter Eunmo Koo] TS Trillion has expressed its intention to advance as a health lifestyle specialized brand following its listing on KOSDAQ.
On the 5th, TS Trillion held an IPO press conference in Yeouido, Seoul, attended by CEO Jang Ki-young and key executives, where it unveiled its strategy and vision after the merger listing.
Founded in 2007, TS Trillion leads the hair loss care market centered on its proprietary brand ‘TS,’ developing and selling functional hair care products and specialized cosmetics targeting the hair loss market. TS Trillion’s flagship product, TS Shampoo, was launched in 2010 and introduced on GS Home Shopping in 2014. Currently, sales channels have expanded beyond GS Home Shopping to include CJ O Shopping, Hyundai Home Shopping live broadcasts, department stores, H&B stores, and duty-free shops.
After launching on GS Home Shopping, TS Trillion began full-scale business expansion and entered the KONEX market in 2017. In July, through its corporate research institute, the company secured a government project to develop functional cosmetics applying natural materials and technologies effective in alleviating hair loss, proving its technological capabilities through patent applications and registrations.
Last year, consolidated sales amounted to 70.5 billion KRW, a slight decrease of 4.94% compared to 2018, but operating profit and net profit recorded 4.8 billion KRW and 3.2 billion KRW respectively, increasing by 40.48% and 24.39% compared to 2018. In the first half of this year, sales were 28.3 billion KRW, down from 33.7 billion KRW in the same period last year, but operating profit improved to 2.5 billion KRW, up more than 54% from 1.6 billion KRW in the previous year, indicating an improved profit structure.
Following the merger listing, TS Trillion plans to focus on expanding sales and profitability by developing new products, increasing domestic and international marketing personnel, and establishing new overseas sales channels. In addition to shampoo, the company has expanded its product lineup through the development of various new products such as hair dye, essences, daily necessities like toothpaste, and TSG product lines for disinfection. According to the company, it will continue to dedicate efforts to research and develop competitive products utilizing patented ingredients even after listing.
CEO Jang Ki-young of TS Trillion stated, "After listing on KOSDAQ, we will grow into a health lifestyle specialized brand by developing not only shampoo but also hair care and functional cosmetics tailored to customer needs, as well as various health functional foods," adding, "We will continuously demonstrate stable growth in all aspects, including sales expansion and operating profit."

The merger price between TS Trillion and Hi-Jae 4th SPAC is 2,000 KRW, with a merger ratio of 1 to 1.2230. The shareholders’ meeting to approve the merger is scheduled for the 13th, the stock purchase right exercise period runs from the 13th to December 3rd, and the merger date is December 15th. After the merger, Hi-Jae 4th SPAC will remain, TS Trillion’s legal entity will be dissolved, and on December 30th, it will be listed on the KOSDAQ market as Hi-Jae 4th SPAC.
