Discussion on Changes in Corporate Governance
Law Firm YK (Managing Partner Kang Kyunghoon) will host a seminar in collaboration with the Korea In-house Counsel Association to discuss changes in corporate governance resulting from the amendment of the Commercial Act.
On August 4, YK announced that it will jointly hold a seminar on the amended Commercial Act with the Korea In-house Counsel Association on August 11 at the main conference room on the 10th floor of its Gangnam, Seoul office.
This seminar aims to assess the overall impact of the amended Commercial Act on corporate governance in Korea and to discuss practical response strategies regarding the expansion of directors' duty of loyalty.
The seminar will begin with opening remarks from Managing Partner Kwon Soonil and will be held in two sessions.
In the first session, Professor Kim Hwajin from Seoul National University School of Law will give a presentation on "The Amended Commercial Act and the Future of Corporate Governance in Korea."
Based on his outstanding expertise in corporate law and capital markets law, Professor Kim will analyze the significance of the amended Commercial Act and its impact on corporate governance in Korea.
In the second session, Kang Jingu, partner attorney and head of the YK Corporate Governance Center, will present practical strategies for responding to the expanded duty of loyalty for directors, focusing on specific case studies.
Launched last month, the YK Corporate Governance Center provides proactive responses to changes affecting overall corporate governance and offers specialized solutions for key risks such as management rights disputes, shareholder activism, and expanded director liability.
Led by Center Director Kang and Managing Partner Kwon, the center includes more than 20 experts in corporate law and capital markets, including Managing Partners Lee Inseok and Chu Wonsik.
Attorney Kang stated, "I hope this seminar will serve as an opportunity to concretely discuss how to respond practically to the evolving legal system."
