Samil PwC to Host Seminar on Director Fiduciary Duties and Value Up on November 21

Samil PwC Governance Center announced that it will hold an on-site seminar titled "New Challenges for the Board of Directors: Directors' Fiduciary Duties and Practical Value-Up Measures" at 3:30 PM on November 21 at the Four Seasons Hotel in Jongno-gu, Seoul.
This seminar is aimed at members of the boards of directors of listed companies, auditors, and audit committee members. The seminar consists of three sessions, and after each session, there will be a dinner and networking time for participants.
In the first session, Hwang Hyun-young, a research fellow at the Korea Capital Market Institute, will present on "Various Issues Related to the Amendment of the Commercial Act (Directors' Fiduciary Duty to Shareholders) and Its Impact on the Board of Directors." The session will provide a balanced perspective on directors' fiduciary duties to shareholders. Following the presentation, Professor Kim Hwa-jin of Seoul National University School of Law will chair a panel discussion with Professors Jeong Jun-hyuk of Seoul National University School of Law and Kim Yoo-sung of Yonsei University School of Law as panelists.
The second session will feature Kim Yong-beom, partner at Samil PwC Value-Up Support Center, as the speaker on the topic "Analysis of the Causes of Korea Discount and Practical Value-Up Measures." He plans to share practical difficulties encountered during the implementation of corporate value-up programs and effective strategies for success, including examples from Japan.
The final session will introduce "The Current Status and Implications of Boards of Directors in Listed Companies" through the results of an outside director survey conducted by Samil PwC Governance Center and an analysis of corporate governance reports. Key analysis results on detailed items such as board composition and operation, evaluation, and committees will be included.
