Studio Santa Claus Makes Strategic Investment in K-Content Company 'K-Enter Holdings'
Studio Santa Claus announced on the 30th that it has restructured its business divisions this year and is solidly preparing for new businesses to be launched in the second half of the year, and has made an investment in the K-content corporate alliance ‘K-Enter Holdings,’ which is pursuing a Nasdaq listing through strategic judgment.
Studio Santa Claus made the investment believing that combining its content investment, distribution, and artist management capabilities with K-Enter Holdings’ content production capabilities and global expansion strategies would generate significant strategic synergy.
K-Enter Holdings, formed as a business holding company by seven major domestic video content producers and entertainment companies sharing a common vision, is pursuing a Nasdaq listing in the U.S. through a SPAC (Special Purpose Acquisition Company) merger to expand global fundraising opportunities and strengthen negotiation power with global OTTs such as Netflix.
In June, K-Enter Holdings signed a merger agreement with the Nasdaq-listed SPAC ‘Global Star Acquisition Inc.’ and was valued at $610 million (approximately 783 billion KRW). After undergoing merger review by the U.S. Securities and Exchange Commission (SEC), it aims to begin trading under the ticker ‘K Wave Media Ltd’ in the first half of next year.
The legal advisory for this merger was provided by the law firm Kwangjang and the U.S. law firm Rob & Rob, with accounting advisory by Samjong KPMG. K-Enter Holdings includes CEO Choi Pyungho of the cultural content investment-focused venture capital ‘Solaire Partners’ and recognized film and drama directors and producers from Chungmuro.
In film content, CEO Park Eun-kyung of ‘The LAMP,’ which succeeded at the box office with 12.18 million viewers for the film ‘Taxi Driver,’ joined, along with co-CEOs Yoon In-beom and Kim Su-jin of ‘Bidangil Pictures,’ which produced ‘Space Sweepers’?which ranked number one in streaming in 26 countries upon its Netflix release?as well as ‘The Chaser,’ ‘The Operation,’ and ‘A Werewolf Boy.’
The brothers Jung Byung-gil and Jung Byung-sik, who led ‘I Am a Murderer’ and hit films such as ‘Carter’ and ‘The Villainess,’ representing ‘APEITDA,’ also joined K-Enter Holdings.
On the drama content side, the top-tier domestic drama production company ‘Studio ANSEILLEN’ joined. It includes director Shin Kyung-soo, who directed dramas such as ‘Six Flying Dragons’ and ‘The Nokdu Flower,’ director Park Jun-woo of ‘Taxi Driver’ and ‘Doctor Detective,’ and director Kim Seung-ho of ‘Joseon Attorney.’ The drama team led by Bae Jung-hoon, who produced Disney’s ‘Grid’ and JTBC’s ‘Insider,’ also joined K-Enter Holdings.
Furthermore, K-Enter Holdings plans to integrate production capabilities to discover new business opportunities that will maximize the value of their original IPs.
Through this, K-Enter Holdings expects that native content companies will be re-evaluated in the global content market by combining the value chain through participation of industry-leading companies from investment to production and maximizing IP utilization.
