Samsung Compliance Committee Holds First Meeting Today... Legal Community Also Shows 'Interest'
[Asia Economy Reporter Kim Hyung-min] The 'Compliance Oversight Committee,' which monitors the legal compliance of major Samsung Group affiliates, will hold its first meeting this afternoon (the 5th). Both the business community and the legal sector are closely watching the committee's future actions with great interest.
Chaired by former Supreme Court Justice Kim Ji-hyung, the committee is expected to discuss detailed blueprints for organizational operations at its office located in Samsung Life Seocho Tower, Seocho-gu, Seoul, this afternoon.
The legal community emphasizes the prevention of 'chaebol risk' as the ultimate task of the Compliance Oversight Committee. This is related to the atmosphere of the Korean legal system, which contrasts with foreign systems. Most cases involving large conglomerate corruption in Korea hold the heads of these conglomerates responsible. In fact, the majority of trials and investigations by Korean courts and prosecutors aim ultimately at the judicial processing of the conglomerate heads.
Influenced by the civil law system and not overlooking moral responsibility, Korea's judicial system makes it difficult for corporate heads to escape ethical responsibility in a series of corporate-related cases. Accordingly, they have been subject to investigations or trials by prosecutors on charges such as breach of trust or embezzlement.
The business community often feels frustrated by this. One official explained, "On the day a conglomerate head is summoned for investigation by prosecutors, regardless of guilt or innocence, the company's stock price fluctuates wildly."
There is keen interest in whether Samsung's Compliance Oversight Committee will propose solutions to this issue. This is especially true as Samsung is currently under investigation by prosecutors over Vice Chairman Lee Jae-yong's trial, the accounting fraud allegations involving Samsung Biologics, and suspicions related to the merger and succession of Samsung C&T and Cheil Industries. Additionally, Samsung has filed an administrative lawsuit seeking to cancel the Securities and Futures Commission's disposition, which demanded corrective actions regarding Samsung Biologics' accounting fraud.
It remains to be seen how much the courts and prosecutors will consider the committee's activities in future trials and investigations. Since this is the first case of a company voluntarily engaging in compliance oversight, there are no established standards yet.
The retrial of Vice Chairman Lee's bribery and embezzlement case related to the political scandal is expected to set these standards. The trial court decided to involve three expert advisors to directly assess the effectiveness of the Compliance Oversight Committee during the trial. The court stated, "The committee must be substantively operational to be considered as a sentencing factor," and emphasized the need for "strict and thorough examination." The court is considering former Constitutional Court Justice Kang Il-won as an expert advisor, while Lee's defense team has nominated former high-ranking prosecutor Kim Kyung-soo.
However, some in the legal community criticize the committee, saying, "Simply establishing and operating a committee is tantamount to granting de facto immunity to large conglomerates." The 'Special Prosecutor Park Young-soo' also stated during Lee's retrial, "A compliance system without chaebol reform is merely leniency." Furthermore, the special prosecutor submitted a separate opinion opposing the expert review of the Compliance Oversight Committee to the court.

A lawyer familiar with the business community said, "Just as the judiciary is guaranteed independence under the separation of powers, the Compliance Oversight Committee must also be guaranteed independence as an organization free from pressure by corporate executives or external forces to function properly."
