Samil PwC Publishes Financial Guidebook for 'Preparing for US Listing'
Samil PwC announced on the 2nd that it has published a financial guidebook for companies preparing to list on the U.S. market. This guidebook, which specifically contains the disclosure financial information required for finance roles under the Chief Financial Officer (CFO), is the first of its kind in Korea.
According to the guidebook, when submitting securities registration statements or merger registration statements, which are part of the U.S. listing process for domestic companies, various forms of financial information must be disclosed. Each type of financial information follows different preparation standards, often causing difficulties for companies.
The guidebook includes detailed information on financial statements and related disclosures required for U.S. listings, such as the definition of Foreign Private Issuers (FPI), accounting standards for financial statements included in securities registration statements, currency translation methods, financial statement period determination, and types of submission formats.
It also provides integrated and systematic information on various situations, such as whether the financial statements of the investee company before a merger are necessary when considering additional mergers and acquisitions (M&A) and equity investments, and how to respond when issues arise from low-priced stock issuance before an initial public offering (IPO).
