Studio Santa Claus "K-Enter Holdings, Countdown to Nasdaq Listing"
Studio Santa Claus, which made a strategic investment in the K-content corporate alliance 'K·ENTER HOLDINGS' last August, is set to be listed on the U.S. Nasdaq market as early as this May. This marks the first case of a comprehensive Korean entertainment company being listed on Nasdaq.
Studio Santa Claus proceeded with the investment, believing that combining its content investment, distribution, and artist management capabilities with K·ENTER HOLDINGS' content production capabilities and global expansion strategy would create significant strategic synergy.
K·ENTER HOLDINGS was established as a business holding company with major domestic video content producers and entertainment companies joining forces. Through this, it aims to expand opportunities for global fundraising, maximize the value of its original IP, strengthen negotiation power with online video services (OTT) such as Netflix, and enhance the global market competitiveness of native content companies.
K·ENTER HOLDINGS plans to hold a shareholders' meeting next month to approve a merger with the Nasdaq-listed SPAC, Global Star Acquisition Inc. (Global Star). In June last year, K·ENTER HOLDINGS signed a merger agreement with Global Star, receiving a corporate valuation of $590 million (approximately 767 billion KRW).
Global Star submitted a securities registration statement (F-4) to the U.S. Securities and Exchange Commission (SEC) on the 26th and, after merger review, the stock will be traded under the name 'K Wave Media Inc.'
