Doosan Acquires Tesna, Korea's No.1 Semiconductor Testing Company... 'Signal for Business Restructuring'

[Asia Economy Reporter Jin-ho Kim] Doosan Group is entering the semiconductor business. This move is seen as the first signal for business restructuring since graduating from restructuring about two years ago.
According to the business community on the 8th, Doosan held a board meeting on the same day and decided to acquire TESNA, the No. 1 company in the domestic semiconductor testing sector. To this end, Doosan signed a stock purchase agreement (SPA) to acquire all TESNA shares (38.7%) held by AI Tree Limited, the largest shareholder of TESNA, for 460 billion KRW.
TESNA is a specialized testing company for system semiconductor products such as application processors (AP), known as the "brain of mobile phones," camera image sensors (CIS), and radio frequency (RF) communication chips. It maintains the No. 1 market share in the wafer testing sector.
As a post-process company, TESNA counts Samsung Electronics and SK Hynix among its major clients. Recently, with the expansion of the foundry market, increased investment in the domestic system semiconductor sector, and a rising trend in outsourcing post-processes, TESNA is evaluated to have high market potential and growth prospects. Its performance growth is also clear, with separate sales of 207.5 billion KRW and operating profit of 54 billion KRW last year, representing a 56.6% increase in sales and a 76.8% increase in operating profit compared to 2020.
Doosan plans to nurture the semiconductor business as a key pillar of its business portfolio alongside its existing energy (power generation) and industrial machinery sectors, starting with this acquisition. Through active investment, Doosan aims to solidify TESNA's competitiveness as Korea's No. 1 semiconductor testing specialist and gradually expand its business area as a semiconductor post-process specialist company by securing advanced packaging technology in the mid to long term.
Doosan has been steadily exploring opportunities to enter the semiconductor field, anticipating continuous growth in semiconductor demand driven by global industrial mega trends expanding into artificial intelligence (AI), AR/VR, big data, 5G, electric vehicles, and autonomous driving.
