SK to Acquire 400 Billion Won Worth of SK Ecoplant Shares from Financial Investors

On April 28, SK announced through a board resolution that it has decided to acquire common shares and convertible preferred shares (CPS) of SK ecoplant held by financial investors (FIs).

SK will invest approximately 400 billion won for this acquisition. By purchasing a portion of the common shares and convertible preferred shares, SK's equity stake in SK ecoplant will increase from 66.7% to 71.2%.


On the same day, SK ecoplant also initiated procedures such as convening an extraordinary general meeting of shareholders to acquire the remaining convertible preferred shares, which are valued at about 650 billion won. This strategy aims to enhance shareholder value by linking the potential of SK ecoplant's semiconductor value chain to SK's corporate value.


SK explained that the successful rebalancing of SK ecoplant, led by its focus on the semiconductor and artificial intelligence (AI) infrastructure businesses, formed the basis for this decision. In 2024, SK ecoplant incorporated Essencore and SK Airplus, both engaged in the semiconductor business, and last year added four semiconductor materials companies: SK Trichem, SK Resonac, SK Materials JNC, and SK Materials Performance. In addition, the company expanded its traditional semiconductor EPC (engineering, procurement, and construction) business into the AI data center sector, and secured competitiveness in both key semiconductor material supply and resource circulation.


As a result, in the previous year, SK ecoplant's consolidated revenue and operating profit reached 12.1916 trillion won and 315.9 billion won, respectively, marking a 40% increase from the previous year for both figures.


With this investment, SK plans to further increase its stake in SK ecoplant and accelerate its value-up initiatives.


An SK official stated, "As the holding company of SK Group, we will continue to actively pursue portfolio rebalancing centered on semiconductors, AI infrastructure, and energy solutions, in order to enhance our corporate value."
