Outside Directors Kim Jun and Ha Yoon-kyung Stepping Down: "No Company Matches SK's Governance Innovation"

SK Innovation announced on the 21st that former outside directors Kim Jun and Ha Jun-kyung expressed this confidence in an interview with the company's news channel, SKino News. They participated in the process where SK Group undertook governance and management reform efforts to implement 'board-centered management' and felt the sincerity firsthand.

The SK Innovation board of directors is an organization that resolves major company decisions stipulated by the Commercial Act, Capital Markets Act, Fair Trade Act, the articles of incorporation, and board regulations as board authority. Under principles such as independence, expertise, and diversity, it focuses on enhancing corporate value through governance structure innovation. In this process, the board has actively participated in the company's overall ESG (Environmental, Social, Governance) management, achieving results such as holding the 'Story Day' to announce a green-centered growth strategy, publishing the 'Net Zero Special Report' containing concrete greenhouse gas reduction implementation plans, and issuing the 'ESG Report,' which expanded the existing sustainability report to focus on ESG. Through these efforts, communication with the market and stakeholders has been strengthened.

Former outside director Kim confidently stated that no domestic company innovates governance as well as SK. He expressed confidence that the 'Governance Story' led by the SK Innovation board is the highest level in the country. He recalled, "The most rewarding experience was learning a lot when deciding on investments for major company projects together with fellow outside directors and the board chair. Especially last year, when the SK On spin-off was confidently pursued by the staff, I trusted and decided on it as an outside director, which led to very good results, and I am grateful to the members."

Former outside director Ha said that through board activities, he had the opportunity to review SK Innovation's affiliated business sites and verify whether existing knowledge had actual technical feasibility. Ha emphasized, "During my six years in office, SK Innovation's governance story has definitely changed, and I felt the process of each director's rationality being coordinated into collective intelligence. From that perspective, SK Innovation's governance story has certainly brought innovation to the board."
